Terms of Service

1. Acceptance of terms

By accessing or using the websites, applications, or APIs of Axon Analytics LLC ("Axon Analytics", "we", "us", collectively the "Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services. Questions can be directed to support@axonanalytics.net.

2. Description of services

Axon Analytics provides consumer software, including yardxsale and related applications, and a developer API (the "API", at api.axonanalytics.net) that identifies items from photos or product descriptions and returns resale price estimates computed from publicly available marketplace listing data. Features may change, and we may add, modify, or discontinue parts of the Services at any time.

3. Accounts and API keys

Some features require an account. You are responsible for the activity under your account and for keeping your login secure. You must provide accurate information and be old enough to form a binding contract in your jurisdiction. If you use the API, keep your API key secret: you are responsible for all activity under your key and for any charges it incurs.

4. Permitted use

You may use the Services to:

• Research and analyze market prices for resale, purchasing, insurance, inventory, or valuation decisions.
• Build internal pricing tools, dashboards, or applications for your own business.
• Power your own products or services with API results, provided you comply with these Terms.

5. Prohibited use

You may not use the Services to:

• Republish or sell the raw listing data the API returns as a data feed or dataset of its own. You may embed results inside your application; the underlying data feed is not yours to redistribute without our written permission.
• Build a bulk archive of any marketplace's listings, or store and reuse results in a way that conflicts with the terms of the underlying sources.
• Circumvent metering, billing, rate limits, or quotas, or access endpoints without authorization.
• Reverse-engineer the Services or their infrastructure.
• Give your API credentials to third parties who are not authorized to act on your behalf.
• Distort markets or listing prices, or put pricing data to anti-competitive use.
• Disrupt or attempt to gain unauthorized access to our systems, infringe others' rights, or pursue any unlawful purpose.

6. Rate limits and quotas

Every API plan carries a request rate limit and a usage quota, set at the time of subscription. Requests beyond your limits may be rejected with a 429 response until your quota resets or you upgrade. Limits protect the service and keep access fair for every customer.

7. Billing and payment

Paid plans are available directly from Axon Analytics or through authorized marketplaces such as RapidAPI. API usage is billed in credits or subscription plans; charges reflect the analysis performed (identifying and pricing items), whether or not a price is ultimately available for an item. Consumed credits and delivered requests are non-refundable except where required by applicable law. You can upgrade, downgrade, or cancel at any time; cancellations take effect at the end of the current billing period. We may modify pricing prospectively with reasonable notice to active subscribers.

8. User content and your end users

You retain ownership of content you submit (for example, photos or product descriptions). You grant us a license to host and process that content as needed to operate the Services. If you send us content on behalf of your own users, you are responsible for having the right to do so, for obtaining any consent required in your users' jurisdiction, and for your own privacy disclosures to them. Our Privacy Policy explains how submitted content is handled.

9. Data accuracy and disclaimer

Prices and identifications returned by the Services are automated estimates drawn from publicly available third-party marketplace data. While we strive for accuracy, we make no guarantee that results are complete, current, or error-free, and source sites may change at any time in ways that temporarily affect data availability. Results are not appraisals, financial advice, or guarantees of value or authenticity, and you are responsible for how you use them.

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Uptime and availability

We do not guarantee uninterrupted access to the Services and do not offer service-level agreements or uptime credits. Maintenance, upstream provider outages, or source-site changes may cause temporary unavailability. Where we can, we will give advance notice of planned downtime.

11. Limitation of liability

To the maximum extent permitted by law, Axon Analytics LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the Services, even if we have been advised of the possibility of such damages. Our total liability for any claim is limited to the amount you paid us, if any, for the Services in the twelve months before the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Axon Analytics LLC and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Third-party services

The Services rely on third-party providers (for example, payment, email, and hosting providers). Your use of those features is also subject to those providers' terms. Links to third-party sites are provided for convenience and are not endorsements.

14. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms, fail to pay, misuse the system, or act in ways that harm the Services or other customers. You may cancel your subscription at any time from your dashboard or through the marketplace you subscribed on.

15. Changes to these terms

We may revise these Terms from time to time. Revisions are reflected in the "Last updated" date above, and material changes may come with additional notice. By continuing to use the Services after a revision takes effect, you accept the revised Terms.

16. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in California.
